Terms & Conditions

These Terms and Conditions ("Terms") govern the use of services provided by Workflow Assist, a provider of virtual assistant and AI implementation services. By engaging our services, you ("Client") agree to be bound by the following terms.

1. Services
1.1 Virtual Assistant Services
Workflow Assist provides both part-time (up to 20 hours/week) and full-time (up to 40 hours/week) virtual assistant services. These may include, but are not limited to:

Administrative support
-
Customer service
-
Digital marketing
-
Bookkeeping
-
Other agreed-upon tasks within scope

1.2 AI Implementation Services
We offer bespoke AI integration and automation solutions including, but not limited to:

Chatbot setup and integration
-
Workflow automation
-
Business process optimisation

2. Client Obligations
-
Provide clear instructions and necessary access to platforms and systems to carry out the agreed tasks.

Respond to communication from Workflow Assist in a timely manner to avoid project delays.

Ensure information and materials provided to Workflow Assist are lawful, accurate, and non-infringing.

3. Fees and Payment

All fees are agreed upon before the commencement of services.

Services are billed either monthly or as agreed upon in writing.
-
Late payments of more than 14 days may incur the BoE interest month rate on overdue invoices.

4. Confidentiality
-
Workflow Assist agrees to maintain confidentiality of all proprietary or sensitive information disclosed during the engagement.

Client data will not be disclosed to third parties without prior written consent, unless required by law.

5. Intellectual Property
-
All materials created by Workflow Assist during the course of providing services shall belong to the Client upon full payment.

Workflow Assist retains the right to use non-identifiable work examples for portfolio purposes unless otherwise agreed.

6. Service Limitations

Workflow Assist does not offer legal, financial, or medical advice.

While we strive for high quality and reliability, we cannot guarantee error-free output or uninterrupted service.

7. Termination
-
Either party may terminate the agreement at the end of each monthly cycle.

In the event of termination, all outstanding fees for work completed will be due immediately.

Workflow Assist reserves the right to suspend or terminate services immediately in cases of abuse, non-payment, or violation of these Terms.

8. Liability

Workflow Assist is not liable for any indirect, incidental, or consequential damages arising from the use of our services.

Our total liability under these Terms, whether in contract, tort (including negligence), or otherwise, shall be limited to the total amount paid by the Client for services in the 30 days prior to the event giving rise to the claim.

9. Force Majeure
Workflow Assist shall not be held liable for delays or failure in performance resulting from causes beyond our reasonable control including, but not limited to, acts of God, internet outages, labour disputes, or governmental actions.

10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Amendments
Workflow Assist reserves the right to modify these Terms at any time. Clients will be notified of changes and continued use of services will constitute acceptance of the updated Terms.
